Transactional Work

Our lawyers have worked on transactions ranging from global, multi-vendor outsourcing deals valued at more than $1B to smaller transactions valued at less than $100K.  We have experience with all phases of these transactions. We can structure, plan and negotiate the agreements, including handling the RFP and selection process.  We can help manage the relationship by addressing governance and compliance issues.  We can also help with exit planning and transitions, which often involve simultaneous negotiations with incumbent and replacement vendors.

We work seamlessly with lawyers in other areas, such as our Privacy and Information Governance Practice, to address the full range of issues that can arise in technology and sourcing transactions.  Our transactional lawyers work closely with our litigation lawyers when disputes arise, often bringing those disputes to a negotiated resolution.  The cooperation between our transactional and litigation lawyers also means we are better able to anticipate and avoid disputes.


Litigation Work

Our lawyers are experienced, skilled litigators with vast knowledge of technology and sourcing agreements and the relevant law.  We deliver solutions to the most complex disputes, whether through negotiations, arbitrations, or state and federal court litigation.

We handle issues including protecting information technology rights, interpreting the scope and meaning of contractual provisions, exit barriers and termination provisions, data integrity and protection of proprietary information.  We also counsel clients in terminating technology and sourcing agreements, billing disputes and service-level disputes.

Our litigators work closely with our transactional lawyers when disputes arise, often bringing those disputes to a negotiated resolution.  The cooperation between our litigation and transactional lawyers also means we are better able to resolve disputes.
