  • Representation of Inland Real Estate Exchange Corporation in connection with entering into a Joint Venture Agreement with a subsidiary of Inland Real Estate Corporation, a public Real Estate Investment Trust, to offer fractionalized interests in real estate for investors wishing to participate in tax-deferred exchanges under Section 1031 of the Internal Revenue Code.  The offerings will be pursuant to Regulation D of the Securities Act of 1933.
  • Representation of Jupiter Realty Corp. in connection with various equity ventures with an institutional investor, including negotiation of venture agreements and acquisition of a portfolio of industrial buildings located in various states.
  • Representation of Honeywell International in connection with numerous mergers and acquisitions involving substantial real estate matters in transactions exceeding $100,000,000.
  • Representation of LaSalle Bank National Association in connection with a $138 million construction loan financing and syndication for the development of an open-air retail shopping center located in Arkansas.
  • Representation of the owner of the Chicago Hard Rock Hotel in connection with a complex refinancing involving a tax credit ownership structure and Tax Increment Financing.
  • Representation of LaSalle Bank National Association in connection with construction and bridge loans for the redevelopment of the Medinah Temple block (including a Bloomingdale’s Furniture Store) in the River North area of Chicago, including a pledge of Tax Increment Financing proceeds.
  • Representation of LaSalle Bank National Association in connection with numerous credit facilities (both secured and unsecured) to both private and public Real Estate Investment Trusts.
  • Representation of Prime Group Realty Trust, developer of Citadel Center (a 1.5 million square foot mixed use project in downtown Chicago) in connection with all project financing, including a $230 million construction loan from Bayerische Hypo-Und Vereinsbank AG, a $65 million mezzanine financing loan from a lender group agented by Bankers Trust Co., and joint venture equity investment from institutional investors.
  • Representation of LaSalle Bank National Association in connection with construction and bridge loans for the redevelopment of retail space, condominiums and townhomes for property located on the corner of Lincoln, Belmont and Ashland in Chicago.
  • Representation of LaSalle Bank National Association in connection with redevelopment financing for a hotel and theatre complex located at 22 West Monroe in downtown Chicago.
  • Representation of LaSalle Bank National Association, as agent, in connection with a $200 million secured acquisition line of credit for a newly formed Real Estate Investment Trust, which included negotiation of the credit agreement and related security instruments for properties located in seven states.
  • Representation of Jupiter Realty Corp. in connection with the financing of numerous multi-family apartment projects located throughout the United States, which were financed with tax-exempt bonds, including credit enhancement.
  • Representation of Jupiter Realty Corp. in connection with a $100 million hotel portfolio loan.
  • Representation of a major pension fund in connection with a $233 million construction loan to develop a high-rise condominium project in Chicago.
  • Representation of a major pension fund in connection with the financing of several major office buildings located in downtown Chicago at 181 West Madison, 500 West Madison and at 200 and 230 West Monroe, and in Schaumburg, Illinois.
