Acquisitions and Dispositions

Our attorneys regularly handle acquisitions and dispositions in multiple-property transactions, single asset projects, and equity investments in real estate.  We represented a major U.S. retailer in connection with its acquisition, from another retailer, of 54 retail sites located throughout the nation.  We also represent one of the country’s largest pension fund advisors in connection with its equity investments throughout the Midwest.  We have represented our clients in the purchase and sale of multi-family residential developments, office properties, shopping centers and other retail facilities, mixed use developments, and industrial and hotel properties.  We understand that the objectives of our clients in each transaction vary widely and that each transaction must be effectively tailored to meet the client’s requirements.  As a result, our extensive experience in structuring, negotiating and documenting all types of real estate transactions enables us to find innovative means to meet our clients’ goals and objectives for each of their transactions.

We also work closely with our corporate, ERISA, tax, and securities lawyers to effectively structure investment vehicles for the acquisition, financing and operation of real estate projects.  The creative structuring of real estate partnerships, limited liability companies, joint ventures and other real estate investment vehicles enables our clients to achieve the operating results they desire, while minimizing the tax impacts related to the ownership, operation and disposition of real property.  We also work closely with our tax lawyers to structure and implement all types of like-kind exchanges of real estate assets, enabling our clients to defer gains that otherwise would be incurred in connection with the sale of real property.
