Tax Practice

We provide effective solutions to complicated tax and business problems. Clients seek our help to design and execute business transactions and securities offerings and to advise on day-to-day operations in ways that minimize tax costs and maximize tax benefits. Our attorneys also represent clients in matters involving the Internal Revenue Service and state tax administrative agencies in all forums—on audit, on appeal, in arbitration and in the courtroom. We know our clients’ businesses and provide practical, real world advice in a timely and cost-effective manner.

Our attorneys have a broad range of experience in state, local and federal tax matters, including cross-border transactions and disputes that involve multiple jurisdictions.  We provide transactional and controversy representation to privately- and publicly-held multinational and multistate businesses, tax-exempt organizations and individuals.  Our clients come from all sectors of the economy, and from industries that include aerospace, defense manufacturing, financial services, hospitality, food service, transportation, telecommunications, e-commerce, and real estate.  We are involved in transactions from day one in structuring and negotiating tax points, which ensures that they are as tax-efficient as possible.

Our attorneys handle the gamut of significant transactions, including purchases, sales, spin-offs, partnership investments, securities offerings both public and private, restructurings both in and out of bankruptcy, and real estate transactions including tax-free exchanges.  We are national leaders in the design, implementation and workout of real estate investment programs, including tax-advantaged programs sold as securities.  In these times of uncertainty about potential tax code changes, we provide planning and counsel with an eye to the future and as much flexibility as possible.

In addition to our transactional tax work, our Tax Controversy practice pairs our in-depth technical experience and knowledge with the Firm’s nationally recognized litigators.  We routinely represent taxpayers in matters involving the Internal Revenue Service and state tax administrative agencies and in litigation in federal and state trial and appellate courts, with outstanding results for our clients.

Our attorneys include a former advisor in the IRS Office of Chief Counsel, a tax CPA with litigation experience, and an Adjunct Professor in a graduate program in taxation at a highly-regarded Chicago law school.  Our practice is recognized by Chambers USA and Legal 500, and our partners are consistently included in significant legal directories including Leading Lawyers Network, Who’s Who Legal and Super Lawyers.
