Kate Price is a partner in Jenner & Block LLP’s Private Equity Group. She specializes in representing private equity, venture capital and mezzanine funds in all stages of operations, with particular expertise in fund formation and regulatory matters. Ms. Price has significant expertise in leading fund managers through the small business investment company (SBIC) licensure process at the Small Business Administration (SBA), having one of the most active SBIC practices in the United States.
Ms. Price counsels clients through the fund formation and capital raising processes and advises them on regulatory compliance and ongoing operational matters. In particular, she specializes in representing funds that raise $500 million or less in private capital. The breadth of her experience with the SBIC program and lower middle market funds enables her to provide a broad market perspective and efficient counseling to her clients. She has extensive experience working with the SBA throughout the SBIC licensing process and regularly advises clients on SBIC regulatory restrictions, including representing funds making SBIC-compliant private equity and mezzanine investments in the lower middle market. Ms. Price has built a practice designed to provide practical, efficient advice to funds operating in a very competitive market.
Ms. Price also represents certain institutional limited partners making investments in a wide variety of funds, using her knowledge of fund offerings to streamline negotiations. She advises both banks and funds in negotiating lines of credit. She counsels funds in secondary portfolio sales and with winding down operations at the end of a fund’s life cycle.
