G. Thomas Stromberg is a partner in Jenner & Block’s Transactional Department and a member of the Corporate and Mergers and Acquisitions Practices. Mr. Stromberg concentrates his practice in representing investors in the acquisition and financing of private companies. He has broad experience handling cross-border transactions involving parties across North America, Europe, Australia and Asia, including China, Japan, Hong Kong, Russia and India. Mr. Stromberg has practiced law in Tokyo and speaks Japanese.
Mr. Stromberg is experienced with mergers and acquisitions, mezzanine and junior capital financings and restructurings, private equity, venture capital, joint ventures, spinoffs, asset-based financings, leveraged acquisitions, convertible debt finance, multibank credits, underwriting facilities, project financings, credit enhancements, debt and equity restructurings, recapitalization and workouts. Many of the transactions that Mr. Stromberg handles include cross-border features. His practice extends across a wide range of industries, including media and entertainment, information technology, aerospace and defense, food and beverage, software, automotive, life sciences, energy, agribusiness, telecommunications, manufacturing and business services.
Throughout his career Mr. Stromberg has maintained a client base in Northern California among emerging and mid-size technology companies. He founded and managed an office in Palo Alto for a New York-based law firm and handled multiple capital raise transactions of various structures and utilizing securities and other investment vehicles for the growth of the clients he represents. He has also handled M&A transactions among tech and IP heavy companies based in the Silicon Valley and doing business globally.
Mr. Stromberg also advises clients on legal and business issues related to blockchain technology and crypto assets. He understands the evolving legal and regulatory issues related to crypto assets, including recent developments in securities law with respect to issuing and trading such assets. He has advised clients on regulatory, corporate and commercial issues arising in connection with initial coin offerings and coordinates with lawyers from other practice areas to advise clients using blockchain technology on a wide range of corporate and financial transactions.
