Ms. Grayson's recent environmental law representations include:

  • Represented Archer Daniels Midland in the $1.3 billion sale of its global cocoa business to Olam International as well as the sale of its global chocolate business to Cargill for $440 million, counseling on environmental and food safety due diligence.
  • Represented General Dynamics Corporation and its affiliate, GDOTS, in the $95 million sale of AxleTech International, a manufacturer of commercial and military vehicle axle and suspension components.
  • Led environmental due diligence representations for General Dynamics Corporation in its $2.4 billion, $2 billion, $1.5 billion, $1.1 billion, $1 billion and $750 million public offerings of debt securities.
  • Represented NASSCO in its acquisition of Metro Machine Corp., a leading East Coast surface-ship repair company that supports the U.S. Navy fleet in Norfolk, VA.
  • Represented General Motors on environmental matters in its sale of substantially all of its assets to a newly formed entity sponsored by the U.S. Treasury in connection with GM's voluntary petitions for relief under Chapter 11.
  • Represented GM as lead environmental counsel in its $5.6 billion sale of the Allison Transmission commercial and military business with sales and manufacturing operations worldwide to the Carlyle Group and Onex Corporation.
