Donald E. Batterson is co-chair of the Cross-Border Practice and a member of the Mergers & Acquisitions and Securities Practices.  He advises clients on mergers, acquisitions and related transactions and public and private securities transactions.  He also regularly advises clients with respect to securities regulations, fiduciary duties and general corporate matters.  Mr. Batterson has handled high-profile and complex transactions for public and private companies in the United States and countries including, among others, Japan, South Korea and the United Kingdom.

Mr. Batterson has represented clients in a number of high-profile M&A transactions, including Takeda Pharmaceutical Company in connection with a multi-billion dollar split-off transaction involving TAP Pharmaceutical Products, which was a joint venture with Abbott Laboratories, and General Motors in the sale of its Allison Transmission division to the Carlyle Group and Onex Corporation for $5.6 billion.  Mr. Batterson also assisted with the highly successful sale of substantially all of the assets of General Motors (in a 363 transaction) to a newly formed entity sponsored by the US Treasury.  Mr. Batterson also represented the CEO and other top executives of Tekelec Global in connection with its sale to Oracle Corporation.

Mr. Batterson has represented Hertz, General Motors, General Dynamics and other issuers in large and complex securities offerings, including the $23.1 billion IPO by General Motors, at the time the largest IPO in history, and an earlier global offering by General Motors of $17.9 billion of debt securities that was, at the time, the largest debt offering by a non-governmental issuer in history.  Mr. Batterson also assisted with the exchange offer by General Motors for $27 billion of its public unsecured debt securities and assisted General Motors with a $4.5 billion 144A offering of debt securities.

Mr. Batterson has significant experience with real estate investment trust (REIT) sponsors, REIT internalization or self-management transactions and securities matters with respect to real estate investment programs.  He has provided REIT sponsors with guidance on a wide range of securities and corporate matters. 

Mr. Batterson has significant experience with cross-border M&A and other transactions, and he has represented numerous foreign companies, including in Japan, South Korea and the UK.
