Carl Wedoff advises clients on issues arising in corporate restructuring and bankruptcy. Carl helps creditors, statutory committees, special directors, and trustees protect their rights in both in-court and out-of-court corporate reorganization. Carl counsels clients on bankruptcy planning and counterparty risk and draws on extensive litigation experience to guide clients in all aspects of the bankruptcy process. In addition to his core chapter 11 practice, Carl helps clients address insolvency in the municipal and international context.

Carl litigates bankruptcy and non-bankruptcy commercial matters and has represented clients in the United States Supreme Court, argued in the Second Circuit and Eleventh Circuit Courts of Appeals, and appears in state and federal trial courts. Carl writes frequently on bankruptcy topics and was a featured speaker at the 2021 Annual Meeting of the National Conference of Bankruptcy Judges.

  • Represents chapter 11 trustee, Richard Levin, in bankruptcy cases of U.S. subsidiaries of a diamond empire involved in $1 billion Indian bank fraud.
  • Represents numerous clawback defendants in the Bernard L. Madoff Investment Securities LLC SIPA liquidation proceedings and related Fairfield Sentry Ltd. British Virgin Islands liquidation.
  • Represented the Official Committee of Retirees in the Title III cases for the Commonwealth of Puerto Rico, representing the interests of approximately 167,000 public-sector retirees who were owed approximately $50 billion in connection with the funding of their accrued pensions
  • Represented court-appointed Examiner in the chapter 11 cases of Celsius Network LLC.
  • Represented chapter 11 trustee in bankruptcy litigation involving publicly traded staffing business and affiliated professional employer organization.
  • Represented special committee of disinterested directors in multibillion-dollar chapter 11 bankruptcy of satellite services business.

  • Represented the debtor/petitioner in Law v. Siegel, a United States Supreme Court case concerning the power of bankruptcy courts to override statutory exemptions of personal property that a debtor would otherwise be permitted to retain.
  • Represented the debtors/respondents in City of Chicago v. Fulton, a United States Supreme Court case concerning whether an entity in possession of property of the bankruptcy estate has an affirmative obligation under the Bankruptcy Code to return that property to the debtor.
  • Represented section 1114 committee of executive and administrative retirees in The Budd Company, Inc. chapter 11 case.
  • Represented CME Group in the SIPA liquidation proceedings of MF Global Inc. and related matters.
  • Represented Public Service Enterprise Group (PSEG) in connection with the chapter 11 bankruptcy cases of Edison Mission Energy and Midwest Generation and the negotiation of issues arising out of a sale-leaseback transaction involving coal-fired power plants.
  • Represented PSEG in connection with the chapter 11 bankruptcy cases of Dynegy Holdings, LLC and certain of its affiliates, involving issues arising out of complex sale-leaseback transactions of the debtors.
  • Represented the chapter 7 debtor in an Eleventh Circuit appeal of student loan “undue hardship” discharge determination.
  • Represented journalist Mattathias Schwartz in a Freedom of Information Act lawsuit against the US Drug Enforcement Administration. Mr. Schwartz prevailed on partial summary judgment before the District Court for the Eastern District of New York, with the Second Circuit affirming the district court’s decision.
  • Represented the defendant-appellant in a successful appeal of a mail fraud conviction before the Second Circuit.

  • Represented the chapter 7 debtor in an Eleventh Circuit appeal of student loan “undue hardship” discharge determination.
  • Represented journalist Mattathias Schwartz in a Freedom of Information Act lawsuit against the US Drug Enforcement Administration. Mr. Schwartz prevailed on partial summary judgment before the District Court for the Eastern District of New York, with the Second Circuit affirming the district court’s decision.
  • Represented the defendant-appellant in a successful appeal of a mail fraud conviction before the Second Circuit.
