“Corporate Governance: SEC Publishes Proposed Rules on Stockholder Proxy Access,” Insights - The Corporate & Securities Law Advisor

Partners Jerry J. Burgdoerfer and Elaine Wolff and Associates Brandon J. Dodgen and Matthew R. Kopp published the lead article in the July 2009 issue of Insights magazine titled, “Corporate Governance: SEC Publishes Proposed Rules on Stockholder Proxy Access.” The article examines the SEC’s newly proposed stockholder proxy access rules, which are intended to help restore marketplace stability and investor confidence. According to the authors, the SEC has made similar proposals in the past, but the “economic crisis has given the amendment process new life due to what is perceived by some as boards not exercising proper oversight.” The article highlights the new proposed Rule 14a-11 and amended Rule 14a-8(i)(8) published in the SEC’s June 10th 250-page release.
