Jenner & Block Partners Donald E. Batterson and Jerry J. Burgdoerfer co-authored the Negotiated M&A Guide (2014) for the United States, published on behalf of the Corporate and M&A Committee of the International Bar Association.  This guide reviews negotiated acquisitions of private companies in the United States and is aimed at providing a general overview of (among other things) the acquisition process, acquisition structure options and key provisions that are negotiated in a standard acquisition agreement.  This is a practical guide for practitioners and others who are looking for an introduction to the laws and market practices relating to negotiated acquisitions in the United States.
