Firm Advises EMCORE on Exchange Offer

Jenner & Block advised EMCORE Corporation, a leading provider of compound semiconductor technologies, on EMCORE’s recent exchange offer of approximately 7.7 million shares of its common stock and $80.3 million principal amount of its newly issued 5% Convertible Senior Subordinated Notes due 2011 for approximately $146 million principal amount of its outstanding 5% Convertible Subordinated Notes due 2006.  CIBC World Markets Corp. acted as dealer manager for the exchange offer.   Over 90% of the holders of EMCORE’s 5% Convertible Subordinated Notes due 2006 tendered their notes in the exchange offer, which closed on February 24, 2004 in New York.

EMCORE provides compound semiconductor-based components and subsystems for the broadband and wireless communications markets and the solid-state lighting industry.   EMCORE’s common stock is listed on the Nasdaq National Market.
