Corporate Secretary Think Tank Helps Executives Navigate Critical Governance Issues

Jenner & Block Partners Christopher C. Dickinson, Lorelie S. Masters, John H. Mathias, Jr., and John E. Welch participated in the 2005 Corporate Secretary Think Tank at the NASDAQ MarketSite in New York City’s Times Square on November 18.  The Corporate Secretary Think Tanks are part of an international series of high-level discussions with senior level corporate executives and attorneys on the best approaches to corporate governance and risk and compliance issues. Corporate Secretary is a leading publication for company directors, executives, and in-house attorneys.

As part of the day’s lively discussions, Mr. Mathias chaired "D&O Liability," one of the four panels on the program. "D&O Liability" offered insight on how corporations can obtain the most appropriate Directors & Officers liability insurance, and featured Mark Leopold, Deputy General Counsel - Litigation at HSBC - North America; John Keogh, President & CEO of National Union Fire Insurance Company; Roger Raber, President of the National Association of Corporate Directors; and Harvey Pitt, partner at Kalorama Partners, LLC, as panelists.  Ms. Masters and Messrs. Dickinson and Welch facilitated the discussion at a series of breakout sessions that followed the panel discussion. 

Among other things, the panelists discussed practical approaches to tackling the complicated issue of D&O insurance, recognizing that corporate secretaries and in-house attorneys, who are often charged with sourcing the best D&O liability coverage for company officers and Boards of Directors, are coming under increased pressure to become knowledgeable and give advice on this issue.

The Jenner & Block partners also took part in a number of other panels, including "Taking on Governance," "Interfacing with the Audit Committee," and "Majority Voting."
