Partner Les Lepow and Associate Damien C. Specht represented MacAulay Brown, Inc., a Dayton, Ohio-based provider of technical services in information warfare, electronic combat, and management/logistics services to the U.S. government, in its acquisition of Gray Research, Inc., an engineering and business contractor to the U.S. Department of Defense and NASA. The transaction closed on July 15, 2008.
Based in Huntsville, Ala., Gray Research has more than 175 employees. It supports mission-critical national defense organizations and technologies, primarily within the Missile Defense Agency. It also supports important space exploration programs at NASA's Marshall Space Flight Center. It will operate as a subsidiary of MacAulay Brown.
MacAulay Brown, Jenner & Block's client, has more than 1200 employees in 15 locations across the nation. It already has a presence in Huntsville and it expects that the merger will enhance its business there and permit it to enjoy more cross-selling relationships and to exchange best practices with the Gray Research facilities. MacAulay Brown is based in Dayton, Ohio.
With the addition of Gray Research, MacAulay Brown's 2008 revenues are expected to exceed $200 million.
