Jacobs Engineering Enters Note Purchase Agreement to Issue and Sell $500 Million in Senior Notes

On March 13, our client Jacobs Engineering—a NYSE traded, international engineering company—announced the signing of a Note Purchase Agreement providing for the issuance of Series A, B and C unsecured senior notes with an aggregate purchase price of $500 million.  The notes were placed in the insurance company market.  A portion of the proceeds will be used to retire indebtedness incurred in their $3.4 billion acquisition of CH2M, a Denver-based engineering company. 

Jenner & Block lawyers worked with Jacobs’ in-house legal staff in handling all finance and securities issues and providing tax and ERISA/benefits advice.  The multidisciplinary transactional team on this matter, which was our first significant engagement by Jacobs Engineering, was led by Jenner & Block Partner G.
