On March 13, our client Jacobs Engineering—a NYSE traded, international engineering company—announced the signing of a Note Purchase Agreement providing for the issuance of Series A, B and C unsecured senior notes with an aggregate purchase price of $500 million. The notes were placed in the insurance company market. A portion of the proceeds will be used to retire indebtedness incurred in their $3.4 billion acquisition of CH2M, a Denver-based engineering company.
Jenner & Block lawyers worked with Jacobs’ in-house legal staff in handling all finance and securities issues and providing tax and ERISA/benefits advice. The multidisciplinary transactional team on this matter, which was our first significant engagement by Jacobs Engineering, was led by Jenner & Block Partner G. Thomas Stromberg and Special Counsel Anna Meresidis. Other team members included Partners Michael T. Wolf and Matthew J. Renaud and Associates Ariel Woo Cho and Rafi W. Mottahedeh.
