Jenner & Block Partner Joseph P. Gromacki has been named an American Lawyer magazine “Dealmaker of the Year” for 2011. The dealmakers were announced and profiled in the publication’s April issue.
According to AmLaw, Mr. Gromacki was selected for his leading work on the $23.1 billion history-making General Motors IPO, which the magazine called “the IPO of 2010.” His profile also referred to his role as lead M&A counsel in GM’s Section 363 sale, 17 months before the IPO.
In noting the scale of the IPO, its atypical stock structure, the expanding size between the launch of the offering and the pricing, and the intense public and media attention surrounding it, AmLaw wrote of Mr. Gromacki, “For a deal so big, complex, and heavily scrutinized, Gromacki makes the dealmaking behind the IPO sound remarkably smooth and easy.” The profile also quoted Davis Polk & Wardwell partner Richard Drucker, the underwriter’s counsel on the deal, who said, “Joe and his team were a pleasure to work with…Joe consistently demonstrated his deep knowledge of his client, and provided sage advice every step of the way.”
This is the second time Mr. Gromacki has been selected as an AmLaw “Dealmaker of the Year.” In 2008, he was recognized for his representation of Sam Zell in the Tribune Company’s $8.2 billion going-private transaction.
Mr. Gromacki is Chair of the Firm’s Corporate Practice and Co-Chair of the Firm’s Securities Practice. He has extensive experience structuring, negotiating and managing public and private mergers, acquisitions, divestitures, public securities offerings and other highly complex transactions and he regularly counsels clients regarding corporate governance and disclosure matters and Delaware law issues and other corporate and securities law matters.
