Jenner & Block is serving as securities counsel and corporate governance counsel for Snyder’s-Lance in connection with the company’s recently announced agreement to acquire Diamond Foods, Inc., a transaction that brings together two “iconic snacking brands,” according to a press release. Under the agreement announced this week, Snyder's-Lance will acquire all outstanding shares of Diamond Foods in a cash and stock merger transaction for approximately US$1.91 billion. The firm is handling all of the Snyder’s-Lance filings with the US Securities and Exchange Commission in connection with the transaction, including the S-4 registration statement, which will be filed by the company in order to enable Snyder’s-Lance to issue its shares to the stockholders of Diamond and for both companies to hold meetings of their stockholders to approve the transaction. The firm also advised the Snyder's-Lance board of directors regarding its consideration and approval of the transaction. The boards of both companies have approved the agreement. According to the press release, the transaction expands Snyder's-Lance's footprint in "better-for-you" snacking and increases the company's existing natural food channel presence.
