Jenner & Block Partners Rachel S. Morse and Jason D. Osborn and Associate Brendan A. Donahue were panelists on a CLE webinar that examined mergers and acquisitions.  The panelists explored the types of breach claims that arise most frequently in the aftermath of M&A transactions, shared practical tips to help buyers and sellers negotiate and draft stronger deal documents, and discussed litigation strategies that will prove useful to parties who find themselves entangled in R&W breach disputes. They also addressed the pros and cons of representation and warranty insurance, which can shift the risk of reps and warranties breaches to a third party.  Their presentation was followed by a question-and-answer session.  Sponsored by Strafford, the webinar was held on April 14, 2016.

Ms. Morse concentrates her practice on complex commercial litigation. She has significant experience litigating in a variety of substantive areas, including intellectual property disputes, business torts, and complex contract disputes.  She is a member of her firm’s Complex Commercial Litigation, Real Estate and Construction Litigation, and Technology Litigation Practices.

Mr. Osborn counsels clients on their business development strategies and regularly represents private equity funds and public and private company clients in complex transactions, including mergers and acquisitions, leveraged buyouts, going-private transactions, joint ventures, divestures, private financings, recapitalizations and restructurings, and in related corporate governance, executive compensation and general corporate matters.

Mr. Donahue is an associate in the firm’s Corporate Department. His practice includes mergers and acquisitions, private equity, and general corporate counseling. He has represented public and private companies in a variety of domestic and cross-border transactions.
