“Key Issues in Government Contractor Mergers and Acquisitions,” American Bar Association

Jenner & Block Partner Damien C. Specht moderated a CLE webinar of the American Bar Association that explored best practices for conducting business transactions when government contractors are involved.  Titled “Key Issues in Government Contractor Mergers and Acquisitions,” the panel discussion examined the current state of the government contractor M&A marketplace.  Panelists spoke about key deal terms and diligence items buyers and sellers should focus on; what risks and opportunities are presented by contractors with small business set-aside contracts;  how parties should deal with foreign investment and/or foreign operation and control of U.S.-based government contractors; best practices for transactions involving classified contracts; and how parties can avoid common traps associated with novation and other change of control requirements.  Sponsored by the Center for Professional Development, Government and Public Sector Lawyers Division, Section of Public Contract Law and Section of Public Utility, Communications and Transportation Law, the webinar was held on February 12, 2015.

Damien is co-chair of the Government Contracts Corporate Transactions Group.  In addition to representing clients in all facets of government contracts mergers and acquisitions, he has experience in a wide variety of government contracts matters, including Federal Acquisition Regulation counseling, preparation of subcontracts and teaming agreements, contract disputes and both pre- and post-award bid protests.
