She has a proven track record of successfully guiding these clients as they expand their portfolios or enter new lines of business, through mergers, acquisitions, joint ventures, and strategic partnerships.
Carissa understands the media, entertainment, and sports industries; how technology, content consumption, and government regulation are changing those industries; and the challenges her clients face as a result. Representative Matters
- Represented Fox Sports in the first-of-its kind national media and sports wagering partnership in the United States that created FOX Bet. This historic partnership with The Stars Group involved a complex array of media rights, equity, and commercial components. Sports Business Daily called the transaction “the boldest step taken by a US media company in the sports gambling space.”
- Represent Sinclair Broadcasting in the formation, governance, and operation of the Bally Sports Regional Networks, including its joint ventures with MLB teams and recent launch of its direct-to-consumer (DTC) streaming service, Bally Sports+.
- Represented Fox Entertainment in its $440 million acquisition of Tubi TV, a leader in the free ad-supported streaming category with a library of over 40,000 movies and television shows in the United States, including Tubi Originals. The deal was critical to Fox’s strategic initiative to broaden and enhance its direct-to-consumer digital reach and engagement.
- Represented Fox Entertainment in the creation and launch of Studio Ramsay Global, a strategic partnership with celebrity chef Gordon Ramsay. The multi-faceted transaction included acquisition of Studio Ramsay, the London-based production company that Ramsay had previously launched in partnership with All3Media, as well as a new multi-year overall deal with Ramsay.
- Represent Meta Media Technology in capital raising, intellectual property, and commercial matters. Meta Media operates a global, cloud-based content distribution network that provides secure, cost-effective delivery of movies, trailers, live-streamed events, and other big-screen programming and revenue-generating opportunities to cinemas.
- Represented PointsBet, the seventh-largest US sports betting operator, in the $225 million sale of its US business to a subsidiary of Fanatics, the largest sports and collectibles licensee in the world that diversified into betting, gaming, and other areas.
