Mr. Petravicius is the chair of the firm’s IP transactions practice, and focuses on transactions driven by IP and technology. He regularly advises clients on IP and technology issues that impact their businesses. He also advises clients on disputes related to IP and technology, often helping to resolve these disputes through a negotiated agreement.

Mr. Petravicius has worked on a wide range of IP and technology transactions, including: licenses of all types, including for software, data, patents, know-how, and trademarks; IP portfolio sales and acquisitions; research and development agreements; distribution, supply and other commercialization agreements; joint ventures and strategic alliances; I/T outsourcing and services agreements. He has also developed form agreements for many of his clients, including: employee IP agreements; NDAs; end user software licenses; independent contractor agreements and consulting agreements.

Mr. Petravicius has handled the IP aspects of numerous M&A deals, including carve-outs with complex shared IP issues. He has also handled the entire aspect of several M&A deals in which the primary business asset was software or other technology. Because he is a member of the firm’s Corporate Department, Mr. Petravicius is able to work seamlessly with the firm’s corporate M&A lawyers on any deal. He has experience on both the sell-side and buy-side, for both public and private companies, and involving both strategic and financial buyers.

He regularly advises clients on current developments in IP and technology, and has advised clients on issues such as: IP risk allocation in transactions; open source software; cloud computing; data privacy and security; standards organizations. He also helps clients negotiate resolutions to IP-related disputes, including: scope of license disputes; royalty and license fee disputes; IP ownership and transferability disputes; contract disputes in I/T outsourcing and services arrangements. In doing so, he works closely with his partners in the firm’s Technology Litigation practice. He also leverages his previous experience as an IP litigator who worked on several significant patent infringement cases, including several jury trials.
